These policies provide a framework for the proper operation of our company, consistent with our stockholders' best interests and the requirements of the law.

Corporate governance is defined as the system that allocates authority and responsibility among a company's stockholders, board of directors and management. The stockholders elect the board and vote on extraordinary matters. The board of directors provides oversight and strategic direction for the company, and selects and evaluates management. Management runs the company's day-to-day operations.
